1. Introduction
Cryptonium (“we”, “our”, “us”) provides technology and payment infrastructure for businesses to process digital asset and fiat transactions. These Terms and Conditions (“Terms”) govern your access to and use of our website, platform, application programming interfaces (APIs), and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
2. Eligibility
- You must be at least 18 years old (or the age of majority in your jurisdiction).
- You must comply with all applicable laws and regulations, including those related to digital assets, payments, and anti-money laundering (AML).
- By using the Services, you represent and warrant that you are legally permitted to do so.
3. Services
Our Services may include, without limitation:
- On/Off-Ramp payment APIs for crypto and fiat.
- Corporate crypto-to-fiat settlement solutions.
- Cross-border payment infrastructure and tools.
- Liquidity and treasury management features.
- Global account and multi-currency capabilities.
We may modify, expand, or discontinue features of the Services at any time, with or without prior notice.
4. Account Registration and Security
- To access certain features, you must register an account and provide accurate, current, and complete information.
- You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
- You agree to notify us immediately of any unauthorized use or suspected breach of security.
5. Compliance and Verification
- We may conduct KYC (Know Your Customer), KYB (Know Your Business), and AML checks before and during provision of the Services.
- We may suspend or terminate access if we detect suspicious, high-risk, or prohibited activities, or if required by law or a competent authority.
6. Fees and Payments
- Fees for the Services are set out in your commercial agreement or on our platform.
- Fees may change with prior notice. Applicable taxes and regulatory charges are your responsibility.
- You authorize us (and our processors) to charge all amounts due using your selected payment method.
7. Prohibited Activities
You agree not to use the Services to:
- Violate any law or regulation, including sanctions and AML/CTF obligations.
- Engage in fraud, market manipulation, terrorist financing, or any unlawful conduct.
- Interfere with, disrupt, or compromise the security or integrity of the Services.
- Reverse-engineer or access non-public areas of the platform without authorization.
8. Intellectual Property
All content, trademarks, logos, software, and other materials within the Services are the property of Cryptonium or its licensors and are protected by applicable laws. You may not use, copy, or distribute any materials without our prior written consent, except as expressly permitted by these Terms.
9. Limitation of Liability
- To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, or business opportunities.
- We are not liable for delays, interruptions, or failures caused by events beyond our reasonable control.
- To the extent permitted by law, our aggregate liability arising out of or related to the Services is limited to the fees you paid for the Services in the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Cryptonium, its affiliates, officers, employees, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Services, or infringement of any third-party rights.
11. Termination
- We may suspend or terminate your access to the Services if you breach these Terms or applicable law, or if required by a competent authority.
- Upon termination, your right to use the Services ends immediately, but you remain responsible for all obligations incurred prior to termination.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Poland, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in Warsaw, Poland.
13. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on our website, and the “Effective date” will be revised. Your continued use of the Services after the changes become effective constitutes your acceptance of the updated Terms.
